Terms and Conditions

These Terms and Conditions ("Terms") govern your use of the Fikapass website and services operated by Barium Ventures ("we", "us", "our"). By accessing or using the service you agree to be bound by these Terms.

1. Definitions

"Service" means the Fikapass website and any related products or services provided by Barium Ventures. "You" or "User" means any person or entity accessing or using the Service.

2. Access and Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your personal or business purposes. You agree not to misuse the Service and to comply with applicable laws.

3. Accounts

To use certain features you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

4. Payments and Subscriptions

Payments for subscriptions are processed through third-party payment providers (for example, Stripe). By subscribing you agree to the provider's terms in addition to these Terms. You authorize us to continue billing your chosen payment method until you cancel the subscription in accordance with the service's billing settings.

No Refunds

Once a subscription payment has been processed and the subscription is active, all payments are non-refundable. If you believe there has been an error with billing, contact us at contact@fikapass.com and we will investigate on a case-by-case basis.

5. Coffee Shop Specific Terms

Coffee Shop Obligations

By participating on the platform as a coffee shop, you agree that when a customer redeems an item on the app, you will honor the requisite transfer of such goods and services.

Guaranteed Payment

You agree to receive a guaranteed payment of £1.20 for each item redeemed, which will be immediately transferred to your Stripe account.

Variable Payout

You agree to a discretionary variable payout calculated based on the number of redemptions across the service in the past month, determining the bonus pool to be paid monthly in arrears.

6. Content and Intellectual Property

All content and intellectual property provided by the Service, unless otherwise stated, is owned by Barium Ventures or our licensors. You may not reproduce, distribute, or create derivative works without our prior written consent.

7. Prohibited Conduct

You agree not to: impersonate others; interfere with the Service; attempt to gain unauthorized access to systems; or upload harmful or illegal content.

8. Termination

We may suspend or terminate your access to the Service for violations of these Terms or for other business reasons. Termination does not relieve you of any payment obligations accrued prior to termination.

9. Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind. To the fullest extent permitted by law, Barium Ventures disclaims all warranties, express or implied. We will not be liable for indirect, incidental, special, punitive, or consequential damages.

10. Indemnification

You agree to indemnify and hold harmless Barium Ventures, its affiliates, officers, and employees from any claim arising out of your misuse of the Service or breach of these Terms.

11. Governing Law and Disputes

These Terms are governed by the laws of the United Kingdom. Any dispute arising from or relating to these Terms will be subject to the exclusive jurisdiction of the courts of the United Kingdom.

12. Changes to These Terms

We may modify these Terms from time to time. We will post the updated terms with a new "Last updated" date. Continued use after changes constitutes acceptance of the updated Terms.
